A unique consumer technology design and manufacturing client of ours has exclusively engaged us on a critical search to identify a Mergers & Acquisitions Manager to join their fast growing team. The M&A Manager will have the exciting opportunity to play a key role on the M&A deal execution team, including serving as transaction lead on certain acquisitions, managing the execution of the deal from initial term sheet through close. The M&A Manager will develop the deal model and valuation recommendation, manage the diligence process and serve as the primary point of contact with the Seller throughout negotiations. Additionally, the M&A Manager will work closely with the members of the M&A Integration Team as well as members from the various business departments to ensure successful integration of the deal. Our client has developed a robust pipeline of acquisition opportunities ranging from $2MM to $50MM both domestic and international and this role will necessitate managing multiple deals at different stages at once. This is a high-profile position that will require regular communication with Senior Management and the Executive Team, including the CEO, COO, CFO, and General Counsel.
Responsibilities:

Serving as primary point of contact with the Seller throughout the execution of the deal

Managing the diligence process by developing deal plans / timelines, overseeing the virtual data room and evaluating the information provided by the Seller

Conducting financial analysis, including the construction of detailed, 3-statement financial models

Working with legal counsel to draft and negotiate the purchase agreement with the Seller

Regularly reporting to Senior Management, primarily the VP of M&A, regarding deal status, key diligence issues and strategic considerations

Supporting the VP of M&A and Executive team in preparation of Deal Approval Memos for the Investment Committee as well as M&A overview presentations for the Board of Directors

Coordinating with the M&A Integration Team and business operations to facilitate successful integration of acquisitions

Incorporating lessons learned from each new acquisition and developing programs to ensure continuous improvement in the deal execution process
